Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Costarax platform in any way, you agree to be bound by these Terms of Service and all applicable Philippine laws and regulations. If you do not agree with any part of these terms, you must not access or use the platform.

If you are accessing or using the platform on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms of Service. In such cases, "you" refers to both you individually and the entity you represent.

You must be at least 18 years of age to use this platform. By using Costarax, you confirm that you meet this age requirement.

2. Platform Description

Costarax is a closed B2B price intelligence and procurement platform designed exclusively for operators in the Philippine foodservice industry. The platform provides the following core features:

• Supplier discovery — search and browse a verified directory of Philippine food and beverage suppliers
• Price comparison — view and compare current supplier price lists for common foodservice products
• Quote requests — send and receive structured procurement enquiries directly through the platform
• AI-powered catalog processing — automated extraction and structuring of supplier price list data

Access to Costarax is by invitation or application only. We reserve the right to approve or decline any access request at our sole discretion without being required to provide a reason.

3. Account Access and Eligibility

To be eligible for a Costarax account, you must meet the following requirements:

• You must represent a business that is registered and operating in the Philippines
• You must provide a valid BIR/TIN number, which we use for business identity verification
• You must submit supporting registration documents (e.g. BIR Certificate of Registration, DTI or SEC registration, Mayor's Permit) as requested during onboarding
• Only one account per registered business entity is permitted

You are responsible for maintaining the confidentiality of your account credentials, including your password. You must not share your login credentials with any third party. You agree to notify us immediately at hello@costarax.com if you become aware of any unauthorised access to your account.

We reserve the right to suspend or permanently terminate any account that violates these Terms of Service, provides false registration information, or engages in conduct that we determine to be harmful to the platform or its users.

4. Buyer Obligations

If you access Costarax as a buyer, you agree to the following obligations:

• Use the platform solely for lawful procurement purposes related to your registered foodservice business
• Do not extract, copy, or share platform data — including supplier prices, product catalogs, or supplier contact information — with any party outside your organisation
• Quote requests must reflect genuine, good-faith purchase intent; do not submit speculative or fictitious enquiries
• Do not attempt to contact suppliers through channels outside the platform for the purpose of circumventing platform pricing or terms
• Do not use automated tools, bots, or scripts to access or extract data from the platform

5. Supplier Obligations

If you access Costarax as a supplier, you agree to the following obligations:

• All price list data you submit must be accurate, current, and reflective of the prices at which you are genuinely willing to sell
• You are responsible for honouring the prices quoted to buyers in response to quote requests submitted through the platform, subject to reasonable stock availability
• Costarax is not a party to any transaction between you and a buyer; all commercial terms including payment, delivery, and returns are agreed directly between you and the buyer
• You must keep your business registration documents, contact details, and product information current and accurate at all times
• You must not upload price lists or catalog data that belongs to or was obtained from a third party without authorisation

6. Intellectual Property

The Costarax platform — including its design, user interface, software, AI models, algorithms, aggregated market data, and catalog data — is owned by Costarax and is protected by applicable intellectual property laws of the Philippines and international conventions.

Content that you upload to the platform, including price lists and supporting business documents, remains your property. By uploading content to Costarax, you grant us a non-exclusive, royalty-free, worldwide licence to store, process, display, and use that content solely for the purpose of operating and improving the platform. This licence terminates when you delete the content or close your account, subject to any retention obligations under applicable law.

You must not reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Costarax platform without our prior written consent.

7. Pricing Data and AI

Costarax uses artificial intelligence to extract, structure, and present supplier price data from uploaded price lists. You acknowledge and agree that:

• AI-extracted price data is provided for informational and comparison purposes only; it does not constitute a binding offer or guarantee of price
• Costarax does not warrant the accuracy, completeness, or currency of any price data displayed on the platform
• Market prices change frequently; you must confirm current pricing directly with the relevant supplier before making any purchasing decision
• AI extraction may contain errors; suppliers are responsible for reviewing and correcting their displayed catalog data

8. Limitation of Liability

To the fullest extent permitted by applicable Philippine law:

• Costarax is not a party to any transaction between a buyer and a supplier and bears no liability for the outcome of any such transaction, including non-delivery, defective goods, or payment disputes
• The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement
• Costarax shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform
• Our aggregate liability to you for any claim arising out of or related to these Terms or your use of the platform shall not exceed the total amounts you have paid to Costarax in the three (3) months immediately preceding the event giving rise to the claim

9. Privacy

Your use of the Costarax platform is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference. Our Privacy Policy explains how we collect, use, store, and protect your personal and business information in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations.

By using the platform, you consent to the collection and use of your information as described in the Privacy Policy.

10. Changes to Terms

We reserve the right to update or modify these Terms of Service at any time. When we make material changes, we will notify active users by email at least 7 days before the changes take effect, and we will update the effective date at the top of this page.

Your continued access to or use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms of Service. If you do not agree to the revised terms, you must cease using the platform and contact us to close your account.

11. Governing Law and Disputes

These Terms of Service are governed by and construed in accordance with the laws of the Republic of the Philippines, including the Civil Code of the Philippines, the Code of Commerce, and applicable special laws, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms of Service or your use of the Costarax platform shall be subject to the exclusive jurisdiction of the appropriate courts of Makati City, Metro Manila, Philippines. You irrevocably consent to the personal jurisdiction of such courts.
